Terms of Use

I. General Information

Definitions

“Account” means your or your Company’s account with us used to access the Services.

“Agreement” means the agreement concluded between you and us, consisting of these Terms of Use and the Data Protection Policy.

“Application for Services” means your application for Services following the procedure set by us.

“Authentication Means” means any or all of the following (according to context): user Password, user ID, authorization tools, authorization codes, API keys, and any other data used for your authentication under the Agreement.

“Available Funds” means, at any given time, any unspent funds or digital assets loaded onto or held within your Account that are available to execute transactions and pay applicable fees and charges under the Agreement.

“Batch Payment” means a grouped payment operation initiated through the Platform that allows you to execute multiple outgoing transactions simultaneously to different recipients.

“Commencement Date” means the date on which we have accepted your Application for Services by setting up an Account for you.

“Company”, “you”, or “your” means the legal entity or authorized representative thereof that is applying for or has opened an Account to use the Services.

“Digital Assets” means cryptocurrencies, stablecoins, tokens, and other blockchain-based assets supported by the Platform from time to time.

“Invoice” means a payment request generated through the Platform and issued to a counterparty.

“Notice” means any information, data, documents, orders, applications, instructions, notices, complaints, and requests arising out of the business relationship between us and you. Notices in the English language only shall be legally valid.

“Password” means a code consisting of Arabic numerals and/or Latin alphabet characters used to authenticate your identity.

“Platform” means the Summer Finance web application, APIs, dashboards, and all associated tools and features made available to you as part of the Services.

“Role-Based Access” means the permissions and access levels assigned to individual users within a Company Account that determine their ability to initiate, approve, view, or manage transactions and financial data.

“Services” means all services provided by us to you through the Platform, including but not limited to: Account management, mass crypto payouts, batch payment processing, wallet management, invoicing, Role-Based Access controls, financial analytics, and any other features made available through your Account.

“Transaction” means any type of payment, transfer, payout, or financial operation linked to the Account and executed through the Platform.

“Wallet” means a crypto wallet associated with your Account through the Platform for the purpose of sending, receiving, or holding Digital Assets. Wallets are of two types as further described in Section VI: Managed Wallets (operated by Summer Finance through its institutional custody partner) and Connected External Wallets (operated and controlled by you through standard wallet connection protocols or browser extensions).

“we”, “us”, “our”, or “Summer Finance” means Summer Finance, a registered legal entity providing the Services described herein.

General Information on the Agreement

These Terms of Use set out the general terms and conditions that apply to our Services.

Together, these Terms of Use and the Data Protection Policy form an Agreement between you and us governing the opening and management of your Account and all Services provided through it.

Legal relations between us and you that are not explicitly covered by this Agreement shall be regulated by applicable law and, where relevant, the rules of any third-party payment or blockchain infrastructure provider involved in the execution of your Transactions.

Copies of these Terms of Use and other documents referenced herein can be found on the Summer Finance website.

The Agreement will commence on the Commencement Date and will terminate in accordance with the provisions of this Agreement.

The Agreement is drawn up in the English language. Where translations are made available in other languages, such translations are for informational purposes only and do not alter or take precedence over the English-language version, which shall prevail in all cases.

Confidentiality

We acknowledge that all information supplied by you to us and related to your business, Transactions, and our relations with third parties is confidential and shall not be disclosed to third parties without your consent.

Personal Data

We collect, use, and process Personal Data in accordance with our Data Protection Policy.

We apply reasonable technical and organizational measures to protect Personal Data from unauthorized access or disclosure.

Providing your Personal Data to us is necessary for the provision of Services. If you choose not to provide certain information, we may be unable to deliver part or all of the Services.

Exchange of Information

Notices may be submitted electronically through your Account or in writing via postal mail to our registered address. Notices submitted by email shall be considered received at the moment of sending. Notices sent by postal operators shall be considered received on the third business day after dispatch.

We shall not be liable for any losses or expenses resulting from your failure to notify us of a change in contact details or from providing incorrect contact information.

All Notices submitted to us must be complete, clearly legible, free from unauthorized alterations, and compliant with the requirements of this Agreement.

Unless otherwise stated, we shall process Notices on business days during our working hours.

Fees and Charges

You shall pay fees and charges for Services rendered by us in accordance with the pricing schedule available in your Account.

We reserve the right to amend our pricing schedule unilaterally. Changes to currency exchange rates are not included in the pricing schedule and are applied at the moment of execution; they may change at any time without prior notice, including during a business day.

Fees are generally due before execution of a Service unless otherwise stated. If applicable fees are unpaid, we reserve the right to suspend or refuse the relevant Service without notice and without liability for any resulting losses.

Where Services are suspended pending information required from you, applicable fees may continue to accrue.

We reserve the right to debit your Account for amounts due under Transactions, fees, charges, and other obligations without requiring your additional consent, based on instructions or authorizations already provided.

You are responsible for all applicable taxes arising from your use of the Services.

Customer Support

All communications between us and you shall be conducted in the English language.

Our Customer Support team is available Monday through Sunday, 9:00 AM to 9:00 PM (CET) for general enquiries. You may contact us via email at [email protected].

Security incidents are handled around the clock. If you suspect that your Account credentials, Authentication Means, or Wallet have been compromised — including suspected unauthorized access, lost or stolen Authentication Means, or anomalous Transaction activity — you may contact us at any time, including outside business hours, weekends, and public holidays, by email to [email protected] with the subject line marked “URGENT — SECURITY”. We maintain on-call coverage for verified security incidents that may result in loss of funds, and account access can be suspended on request pending investigation.

Standard (non-security) support requests submitted outside business hours are processed when our team is next online.

We will endeavor to respond to all complaints within 15 business days of receipt. In exceptional circumstances where a response cannot be provided within 15 business days, we will send a holding reply explaining the delay. In all cases, a final response will be provided within 35 business days.

Third-Party Services

Certain aspects of the Services — including payment processing, blockchain infrastructure, and custody services — may be provided by third-party partners. By using the Services, you agree to be bound by the relevant terms and conditions of such third parties to the extent applicable.

You authorize Summer Finance to share your account information and transaction data with third-party partners as necessary for the execution of Services provided under this Agreement.

II. Platform Access

Terms of Using the Platform

By submitting an Application for Services, you confirm that you have read, understood, and agreed to these Terms of Use and the Data Protection Policy, and you submit a binding offer for the conclusion of the Agreement.

The Platform is protected by applicable intellectual property laws. You may not reproduce, modify, reverse engineer, decompile, publish, transfer, or use any component of the Platform to build competing software without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform solely for the purposes of this Agreement. This right expires upon termination of the Agreement.

To access the Platform, you must authenticate using the Authentication Means assigned to your Account.

You are responsible for maintaining a secure technical environment, including use of secure devices, updated software, licensed operating systems, and appropriate access controls to prevent unauthorized access to your Account.

You must ensure that your Authentication Means remain confidential and inaccessible to unauthorized parties. You bear full liability for losses arising from third-party access to your Authentication Means resulting from your failure to comply with this Agreement.

If your Authentication Means are lost, stolen, compromised, or made accessible to an unauthorized party, you must notify us immediately through your Account or by contacting Customer Support.

III. The Account

Account Opening and Maintenance

Each Company is entitled to open one Account with us, unless otherwise agreed in writing.

We may, at our sole discretion, refuse to open an Account or restrict access to certain features without being obliged to provide reasons.

Prior to executing Transactions, you must ensure sufficient Available Funds are held in your Account.

You may review your Account balance, transaction history, and financial statements at any time through the Platform.

Funds held in your Account do not constitute a deposit and do not accrue interest.

We will credit your Account upon receipt of funds or Digital Assets transferred to your designated Wallet address. Incoming amounts will be made available within a reasonable time following confirmation on the relevant blockchain network.

We reserve the right to debit your Account for amounts due under Transactions, fees, charges, and other obligations without requiring your additional consent, based on instructions or authorizations already provided.

Role-Based Access and Team Permissions

Summer Finance allows Account administrators to configure Role-Based Access for team members, defining which users may initiate, approve, view, or manage Transactions, Invoices, and financial data.

You are solely responsible for:

  • Assigning appropriate access levels to each user within your organization;
  • Revoking access promptly upon a team member’s departure or change of role;
  • Monitoring the activity of all users operating under your Account.

Summer Finance is not liable for unauthorized or erroneous Transactions initiated by your team members acting within or in excess of their assigned permissions. All actions performed under your Account credentials are deemed to have been authorized by your Company.

IV. Mass Payouts and Batch Payments

Summer Finance’s mass payout and batch payment features allow you to initiate multiple simultaneous outgoing Transactions to partners, contractors, affiliates, and employees.

You are solely responsible for the accuracy of all recipient wallet addresses, amounts, and currency selections submitted as part of any payout or Batch Payment. Errors in destination addresses or amounts may result in irreversible loss of Digital Assets, and Summer Finance shall not be liable for such losses.

Before any Batch Payment or payout is executed, you must ensure sufficient Available Funds are present in your Account to cover both the Transaction amounts and all applicable fees.

V. Invoicing

Summer Finance enables you to create, issue, and manage Invoices to your counterparties through the Platform.

You are solely responsible for the accuracy and legal validity of any Invoice issued through Summer Finance. Summer Finance does not verify the commercial terms, amounts, or legal validity of Invoices created by you.

Summer Finance does not guarantee that Invoice recipients will make payment. Any disputes between you and your counterparties regarding Invoices are solely between those parties, and Summer Finance bears no responsibility for their resolution.

VI. Digital Assets and Wallets

Wallet Types

The Platform supports two distinct wallet types that may be associated with your Account. The provisions of this Section VI apply differently to each type, as set out below.

(a) Managed Wallets are wallets operated by Summer Finance through its institutional custody partner. The private keys associated with Managed Wallets are held and managed by the custody partner on Summer Finance’s behalf, and the underlying Digital Assets may form part of the partner’s pooled custodial infrastructure. Managed Wallets do not represent individually segregated blockchain wallets under your sole control.

(b) Connected External Wallets are wallets that you own and control independently and that you connect to the Platform through standard wallet connection protocols (such as WalletConnect) or browser extensions. Summer Finance does not have access to the private keys, seed phrases, or signing devices associated with Connected External Wallets, and at no time can Summer Finance initiate, sign, modify, or reverse Transactions originating from such wallets without your explicit on-device approval.

Managed Wallets

Only Digital Assets explicitly listed as supported by Summer Finance may be deposited, stored, or withdrawn through a Managed Wallet. A current list of supported assets is available on the Platform and may be updated at our discretion.

Summer Finance is not responsible for losses resulting from the deposit of unsupported tokens or assets, or from deposits made to incorrect wallet addresses.

Deposits: You may deposit supported Digital Assets into a Managed Wallet. You are solely responsible for ensuring deposits are made to the correct address displayed on the Platform. Deposits of unsupported assets or to incorrect addresses may result in permanent loss for which Summer Finance bears no liability.

Withdrawals: Withdrawals from Managed Wallets are permitted to wallets owned by your Company or to verified recipients in accordance with applicable procedures. You must comply with all withdrawal procedures established by Summer Finance.

Unsupported tokens: Summer Finance does not support the recovery or return of unsupported tokens deposited into a Managed Wallet. Any such deposit may result in permanent loss for which Summer Finance bears no responsibility.

Connected External Wallets

Connected External Wallets remain under your sole control at all times. Summer Finance does not custody, hold, or manage the private keys, seed phrases, or any other Authentication Means associated with Connected External Wallets, and cannot recover them if lost or compromised.

For Connected External Wallets, the Platform acts solely as an interface for: (i) reading public on-chain data associated with the connected address; (ii) constructing Transactions for your review; and (iii) relaying signed Transactions to the relevant blockchain network on your instruction. All Transactions originating from a Connected External Wallet must be cryptographically signed on your device, browser extension, or hardware signer before being broadcast.

You are solely responsible for the security, custody, backup, and recovery of any Connected External Wallet, including its private keys, seed phrases, and any third-party software or hardware used to access it (such as wallet extensions, hardware wallets, or signing devices). Summer Finance is not liable for any loss of Digital Assets resulting from the loss, theft, compromise, misuse, or operator error associated with a Connected External Wallet, nor for any defect or vulnerability in third-party wallet software or hardware.

Disconnecting a Connected External Wallet from the Platform does not affect your ownership of, or access to, the Digital Assets held in that wallet on the relevant blockchain.

User Responsibilities

You are solely responsible for:

  • Maintaining the security of your Account credentials and Authentication Means;
  • All Transactions executed through your Account;
  • Compliance with all applicable laws regarding the use, transfer, and reporting of Digital Assets in your jurisdiction.

Summer Finance is not liable for losses resulting from unauthorized access to your Account due to your failure to maintain credential security.

Account and Funds Restrictions

Summer Finance reserves the right to freeze, suspend, or restrict access to your Account, to any Managed Wallet associated with your Account, or to specific Platform Services at any time, with or without prior notice, where required by applicable law or where security or compliance concerns arise.

Because Connected External Wallets are not custodied by Summer Finance, the foregoing restriction rights do not extend to the on-chain operation of those wallets. Summer Finance may, however, disconnect a Connected External Wallet from your Account, refuse to relay further Transactions originating from it through the Platform, or remove related data from the Platform interface, in any of the circumstances described in the preceding paragraph.

Summer Finance may terminate your Account if continued provision of Services poses a legal or security risk.

VII. Miscellaneous

Limitation of Liability

THE SERVICES ARE PROVIDED ON AN “AS-IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUMMER FINANCE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUMMER FINANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

SUMMER FINANCE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF SUMMER FINANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, SUMMER FINANCE’S TOTAL LIABILITY TO YOU IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO SUMMER FINANCE IN THE TWO (2) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SUMMER FINANCE IS NOT A BANK, FINANCIAL INSTITUTION, OR FINANCIAL ADVISORY SERVICE. NOTHING IN THE SERVICES CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE.

SUMMER FINANCE SHALL NOT BE LIABLE FOR LOSSES RESULTING FROM CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL, INCLUDING ACTS OF GOD, FIRE, EARTHQUAKE, TERRORISM, WAR, EMBARGO, NETWORK OR INFRASTRUCTURE FAILURES, OR ANY OTHER FORCE MAJEURE EVENT.

Amendment of Terms

We may revise and update these Terms at any time. Your continued use of the Services following any change constitutes your acceptance of the updated Terms. Material changes will be communicated through your Account or by email with reasonable advance notice where practicable.

Termination

This Agreement runs indefinitely. Summer Finance may terminate this Agreement and cease providing access to the Services:

  • Upon one (1) month following non-payment of due fees;
  • If you have violated this Agreement;
  • As required by applicable law.

Summer Finance may also terminate or suspend access at its sole discretion at any time and for any reason, without liability to you or any third party.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, it shall be reformed to the minimum extent necessary to make it enforceable while preserving its original intent. The invalidity of any provision shall not affect the validity of the remainder of the Agreement.

Entire Agreement

This Agreement, including any policies incorporated by reference, constitutes the entire understanding between you and Summer Finance with respect to the Services and supersedes all prior agreements, representations, and understandings between the parties.

Waiver

Any failure or delay by either party in enforcing any right or remedy under this Agreement shall not constitute a waiver of that right or remedy, nor shall it prevent any subsequent enforcement thereof.
